Ticari satış
Özet
6102 sayılı Türk Ticaret Kanunu’nun 23’üncü maddesinde hükme bağlanan ticari satış
kavramı ile ilgili olarak kanun koyucu tarafından sunulan genel bir tanım bulunmamakla
birlikte; 6098 sayılı Türk Borçlar Kanunu’nun 212’nci maddesi ile TTK’nın 1530’uncu
maddesinin 2 ilâ 8’inci fıkralarında da ticari satışlara temas edildiği görülmektedir. Kanun
koyucu tarafından ticari satış kavramının mahiyetine ilişkin herhangi bir açıklama
getirilmemiş olması nedeniyle; bu tür satışlardan ne anlaşılması gerektiği hususunda
doktrinde farklı görüşler ileri sürülmüştür. İlgili görüşler çalışmamız kapsamında
değerlendirmeye alınmış; ticari satış sözleşmelerinin, tacirler arasında kurulan ve her iki
tarafın ticari işletmesini ilgilendiren satış sözleşmeleri olarak değerlendirilmesi gerektiği
sonucuna varılmıştır.
Türk Ticaret Kanunu’nun 23’üncü maddesinin düzenleniş şekli doğrultusunda, ticari
satışın da bir satış sözleşmesi olduğu ve Türk Borçlar Kanunu’nda yer alan satış sözleşmesine
ilişkin hükümlerin, hakkında özel bir düzenleme bulunmadıkça ticari satışlara da
uygulanacağı kabul edilmiştir. Bu hâlde, ticari niteliği haiz olan satış sözleşmelerinin, gerek
Türk Borçlar Kanunu’nda yer alan hükümlerin gerekse Türk Ticaret Kanunu ile hükme
bağlanan düzenlemelerin uygulama alanına girdiği anlaşılmaktadır. Aynı zamanda tüketici
işlemi niteliğini taşıyan ticari satışlar açısından 6502 sayılı Tüketicinin Korunması Hakkında
Kanun hükümlerinin de göz önünde bulundurulması önem taşımaktadır.
Ticari satış sözleşmelerinin, TTK m.3 hükmü uyarınca “ticari iş” olarak
nitelendirilmesi nedeniyle; kanun koyucu tarafından ticari iş niteliğine bağlı olarak öngörülen
hukuki sonuçlar, bu tür satışlarda da söz konusu olmaktadır. Dolayısıyla, ticari satışlarda
teselsül karinesi, faiz ve zamanaşımına ilişkin düzenlemeler de çalışmamız kapsamında ele
alınmıştır. TTK m.23’te ticari satışlarda kısmi ifa, alıcının temerrüdü ve ayıplı ifa hâllerinde
uygulanacak özel hükümlerin öngörülmüş olması nedeniyle; hakkında özel bir düzenleme
bulunmayan diğer hususlar ise, Türk Borçlar Kanunu’nda yer alan hükümler doğrultusunda
incelenmiştir.
There is no consensus on the definition provided by the legislator regarding the
commercial sales regulated in article 23 of Turkish Commercial Code No. 6102, however it is
identified that commercial sales are also mentioned in article 212 of the Turkish Code of
Obligations No. 6098 and paragraphs 2 to 8 of article 1530 of the Turkish Commercial Code.
Different opinions are asserted in doctrine to describe commercial sales term because of the
absence of statement about the content of commercial sales. Relevant opinions are reviewed
within the context of our study and consequently, it is concluded that the sale contracts, which
are established between merchants and concerned to both parties’ firms, should be considered
as commercial sale contracts.
In line with the regulation of Article 23 of Turkish Commercial Code, commercial
sales are also regarded as sale contracts and the provisions related to sale contracts in the
Turkish Code of Obligations can be applied to commercial sales unless there is a special
provision. In this case, the commercial sale contracts are in the execution area of the
provisions of the Turkish Code of Obligations along with the provisions specified by the
Turkish Commercial Code. In addition to this, taking the provisions of the Consumer
Protection Law No. 6502 into account has importance in terms of commercial sales which are
also admitted as consumer transactions,
Commercial sale contracts are classified as “commercial matters” under article 3 of
the Turkish Commercial Code. Therefore, the legal consequences stipulated by the legislator
depending on the content of commercial matters are also applied in commercial sales.
Morever, the legal consequences depending on the provisions of the Turkish Code of
Obligations in commercial sales are also evaluated within the context of our study. The
special provisions to be applied to the cases of partial performance, default of purchaser and
defective performance are determined in article 23 of the Turkish Commercial Code.
Excluding these cases, the other issues that are not regulated in the mentioned article are
examined in accordance with the provisions of the Turkish Code of Obligations
